ClickHouse for Microsoft Fabric Addendum

THIS CLICKHOUSE FOR MICROSOFT FABRIC ADDENDUM (“ADDENDUM”) IS INCORPORATED INTO THE CLICKHOUSE GENERAL TERMS AND CONDITIONS, INCLUDING THE CLICKHOUSE CLOUD ADDENDUM, OR OTHER AGREEMENT BETWEEN CLICKHOUSE AND CUSTOMER GOVERNING CUSTOMER’S USE OF CLICKHOUSE CLOUD (THE “AGREEMENT”). THIS ADDENDUM BECOMES EFFECTIVE UPON THE EARLIER OF CUSTOMER’S ACCEPTANCE OF THIS ADDENDUM OR THE DATE CUSTOMER STARTS USING THE FABRIC INTEGRATION (“ADDENDUM EFFECTIVE DATE”).

EXCEPT AS OTHERWISE MODIFIED IN THIS ADDENDUM, ALL OTHER TERMS AND CONDITIONS OF THE AGREEMENT WILL REMAIN IN FULL FORCE AND EFFECT. ALL CAPITALIZED TERMS NOT DEFINED IN THIS ADDENDUM WILL HAVE THE MEANING GIVEN TO THEM IN THE AGREEMENT. ON AND AFTER THE ADDENDUM EFFECTIVE DATE, ANY REFERENCE TO THE AGREEMENT MEANS THE AGREEMENT AS MODIFIED BY THIS ADDENDUM. IN THE EVENT OF A CONFLICT BETWEEN THE TERMS OF THIS ADDENDUM AND THE TERMS OF THE AGREEMENT LESS THIS ADDENDUM, THE TERMS OF THIS ADDENDUM WILL PREVAIL FOR THE PURPOSES OF THE FABRIC INTEGRATION.

1. Definitions

1.1. “Fabric Integration” means the ClickHouse workload and related integration functionality made available through Microsoft Fabric that enables Customer to provision, access, or interact with ClickHouse Cloud through Microsoft Fabric.

1.2. “Microsoft Fabric” means the Microsoft Fabric data analytics platform and related services provided or controlled by Microsoft.

2. Fabric Integration

2.1. Applicability of Agreement. The Fabric Integration enables Customer to ingest data from Microsoft Fabric into ClickHouse Cloud (“Fabric Data”), and to query such Fabric Data or other Content through the Fabric Integration. Subject to the terms of this Addendum, the Fabric Integration will be considered part of the ClickHouse Cloud Product and Fabric Data will constitute Content under the Agreement.

2.2. Microsoft Fabric; Support; Service Levels; Warranties. The Fabric Integration is made available through Microsoft Fabric and relies for its operation on certain Microsoft Fabric systems and services, including Microsoft Fabric APIs and functionality used to embed and present the Fabric Integration (“Microsoft Components”). Microsoft Fabric and the Microsoft Components are third-party services provided or controlled by Microsoft, are not part of the Product, and are subject to Customer’s agreement with Microsoft.

Notwithstanding anything to the contrary in the Agreement, ClickHouse’s obligations under the Support Services Policy, Service Level Agreement, and performance warranty for Products set forth in the Agreement do not apply to the Fabric Integration or Customer’s use thereof. ClickHouse will use good faith efforts to support and address issues with the Fabric Integration, and, where appropriate, work with Microsoft to seek to resolve issues with the Microsoft Components. ClickHouse does not guarantee the availability, functionality, or performance of the Fabric Integration or that any such issue will be resolved or resolved within any particular time frame.

2.3. Security; Content. Processing of Content, including any personal data, by Microsoft in connection with the Microsoft Components is carried out pursuant to Customer’s contractual relationship with Microsoft. ClickHouse’s obligations under the ClickHouse Security Standards, DPA, and confidentiality provisions of the Agreement apply solely to ClickHouse’s processing of Content in connection with the Fabric Integration, subject to the terms, limitations, and exclusions set forth in the Agreement.

3. Data Transfers

Customer acknowledges that the ClickHouse Cloud region used to store Content, including Fabric Data, may not be in the same location as Customer’s Microsoft Fabric region. Customer is responsible for ensuring that any transfer of Content between Customer’s Microsoft Fabric region and ClickHouse Cloud region complies with applicable laws and any other restrictions to which the Content is subject.
