ClickHouse Hackathon Terms And Conditions
THESE CLICKHOUSE HACKATHON TERMS AND CONDITIONS ("TERMS") CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU (EACH, A "PARTICIPANT") AND CLICKHOUSE, INC. ("ORGANIZER"), AND GOVERN ANY CLICKHOUSE HACKATHONS WHOSE REGISTRATION PROCESS OR HANDBOOK REFERENCES THESE TERMS (EACH, A "HACKATHON"). BY REGISTERING FOR OR PARTICIPATING IN A HACKATHON, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU ARE REGISTERING ON BEHALF OF A TEAM, YOU REPRESENT AND WARRANT THAT YOU HAVE OBTAINED THE BINDING AGREEMENT OF ALL PARTICIPANTS ON YOUR TEAM TO THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT PARTICIPATE.
NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. PARTICIPATION AND PRIZES ARE VOID WHERE PROHIBITED OR RESTRICTED BY LAW, INCLUDING APPLICABLE EXPORT CONTROL AND SANCTIONS REGULATIONS.
Event-specific details for individual Hackathons, including dates, eligibility territories, registration steps, submission requirements, judging criteria, and prizes ("Prizes"), are set out in the Handbook published for the applicable Hackathon (the "Handbook"). The Handbook is incorporated into these Terms by reference. In the event of a conflict between the Handbook and these Terms, these Terms shall control unless the Handbook expressly states otherwise.

1. Introduction
1.1. Organizer
Each Hackathon is organized by ClickHouse, Inc., with an address at 650 Castro St., Suite 120 #92426, Mountain View, CA, USA 94041 ("we," "us," or "our").
2. Eligibility
2.1. General Eligibility
All Participants must meet the following requirements:
2.1.1. Participants must be 18 years of age or older (or the age of majority in their jurisdiction of residence, whichever is greater) as of the date of registration;
2.1.2. Participants must be legally able to participate in the Hackathon in their jurisdiction; and
2.1.3. Participants must ensure that their participation in the Hackathon and acceptance of any Prize comply with their employer's policies, as applicable, and do not breach any duty of confidentiality or contractual obligation owed to any third party, including their employer.
Additional eligibility criteria that Participants, or categories thereof, must meet may be specified in the applicable Handbook.
2.2. Ineligibility
The following persons are NOT eligible to participate in any Hackathon:
2.2.1. Employees, contractors, consultants, officers, directors, and agents of Organizer, its affiliates, Hackathon-related service providers (including event administrators and advertising and promotion agencies), and Prize suppliers;
2.2.2. Immediate family members (spouse, parents, siblings, and children) or household members of any such ineligible individuals;
2.2.3. Employees or officials of any government entity;
2.2.4. Any individual or organization whose participation would create, in the sole discretion of the Organizer, a real or apparent conflict of interest;
2.2.5. Individuals who have previously violated these Terms or rules in any Organizer event.
Failure to meet eligibility requirements will result in an entry being invalid and forfeiture of any Prize awarded in a Hackathon.
2.3. Team Participation
In its discretion, Organizer may permit Participants to participate in a Hackathon as a team. In such cases:
2.3.1. Teams must consist of the number of Participants specified in the applicable Handbook;
2.3.2. All Participants on a team must individually satisfy the eligibility requirements;
2.3.3. Each team must designate one representative/captain ("Representative") who will register and submit on the team's behalf, serve as the primary point of contact with the Organizer, and determine Prize distribution among the team's Participants. By registering for a Hackathon on behalf of a team, Representative represents and warrants that it is authorized to act on behalf of its team and make all decisions relating to Prize(s) distribution;
2.3.4. If a Participant withdraws from or is unable to continue with a team after the Hackathon has commenced, the Representative must promptly notify the Organizer. The Organizer may, in its sole discretion, permit the remaining team Participants to continue competing (including with a replacement Participant who meets the eligibility criteria, if approved by the Organizer), disqualify the team, or take any other action it deems appropriate. A departing Participant forfeits any claim to a Prize awarded to the team but remains bound by all other obligations under these Terms (including under Sections 7, 8, 10, 11, 12, and 13); and
2.3.5. If permitted by the Organizer, an eligible individual may participate in more than one team, provided each team submits a unique and substantially different project (as determined by Organizer in its sole discretion).
3. Registration and Other Requirements
3.1. Registration Requirements
Registration and participation requirements for each Hackathon are described in the applicable Handbook. In addition, all Participants must:
3.1.1. Provide accurate and complete information during registration;
3.1.2. Provide their own hardware, software, and Internet connectivity (unless the Organizer specifies otherwise), and bear all costs they incur in connection with their participation in the Hackathon (including travel and lodging); and
3.1.3. Adhere to all Hackathon deadlines. Organizer may reject late registrations or submissions in its sole discretion.
3.2. Entrant Eligibility
Organizer may establish additional screening steps or eligibility criteria for individual Hackathons and may, in its sole discretion, approve or decline participation by any individual or team prior to the start of the Hackathon (the Participants approved to compete in a Hackathon, each, an "Entrant"). Organizer may disqualify any Participant that Organizer determines could potentially reflect negatively on Organizer's image. Any individual designated as a Judge for the applicable Hackathon may not compete as an Entrant but may serve as a Mentor.
4. Submission Requirements
4.1. General Submission Requirements
To be eligible to win a Prize, Entrants must submit a project ("Submission") by the stated deadline that meets the requirements described in the applicable Handbook. In addition, each Entrant represents and warrants that it has full right, power, and authority to grant all licenses to the Submission required under these Terms (including under Sections 7.2 and 7.3) and that its Submission:
4.1.1. Except for any third-party software or content subject to Section 4.1.2, is an original work of the Entrant. Significant portions of the Submission must be developed during the Hackathon;
4.1.2. Any third-party software or content in a Submission is used in compliance with the applicable third-party licenses, including any attribution or notice requirements;
4.1.3. Does not infringe any copyright, trademark, or patent, misappropriate any trade secret, or violate any privacy, publicity, or any other third-party rights;
4.1.4. Does not contain malware, viruses, spyware, or any harmful or malicious code or content;
4.1.5. Does not contain or collect confidential, proprietary, or third-party personally identifiable information;
4.1.6. Does not portray Organizer or its products or services in a negative light;
4.1.7. Complies with all applicable laws and regulations;
4.1.8. Is in English or in another language pre-approved by Organizer;
4.1.9. Has not been developed, or derived from a project developed, with financial or preferential support from Organizer; and
4.1.10. Will be made publicly available under the terms of a permissive open-source license, as described in Section 7.2.
4.2. Organizer-Provided Materials
Organizer may provide Entrants with access to materials or tools ("Organizer-Provided Materials") for use in developing their Submissions. Entrants may use such Organizer-Provided Materials only in connection with the Hackathon and must comply with any terms provided by Organizer for use of the Organizer-Provided Materials. Organizer-Provided Materials may include access to Organizer products or services ("Organizer Products") whose use is subject to the ClickHouse General Terms and Conditions and the applicable Product Addendum available at https://clickhouse.com/legal/clickhouse-general-terms-and-conditions (or any successor URL or separately negotiated agreement between Organizer and the winner) ("Product Terms"). Participants are responsible for all fees or charges for Organizer Products not covered by, or in excess of, the entitlements provided by Organizer for the Hackathon.
5. Judging
5.1. Judging Process
Eligible Submissions will be evaluated by a panel of judges ("Judges") selected by Organizer, using the criteria set forth in the applicable Handbook. Judges may be Organizer employees or other third parties chosen by Organizer. The Judges' decisions are final and binding in all matters relating to the Hackathon.
5.2. Disqualification
Organizer, in its sole discretion, may disqualify any Submission that does not meet specified requirements, violates these Terms or the Handbook, or is deemed inappropriate, offensive, or contrary to the spirit of the Hackathon.
6. Prizes
6.1. General Prize Conditions
6.1.1. Prizes are non-transferable, non-assignable, and non-refundable. No cash substitution will be made except at the Organizer's sole discretion;
6.1.2. Organizer reserves the right to substitute a Prize of equal or comparable value if the advertised Prize becomes unavailable;
6.1.3. Winners (which, in the case of a team, means all Participants on such team) are solely responsible for all applicable taxes, fees, and surcharges associated with receiving or using a Prize;
6.1.4. Organizer is not obligated to award a Prize if no Submissions are eligible for or merit the Prize;
6.1.5. Prizes are awarded to the winning team's Representative, who is solely responsible for distribution among team members. Organizer is not responsible for internal team disputes over Prize distribution;
6.1.6. Prizes will be delivered following Organizer's receipt of all required winner documentation.
6.2. Winner Verification
The award of a Prize is subject to verification of the identity, qualifications, and role of the potential winner in creating the Submission. No Submission is deemed a winning Submission until any post-Hackathon certifications and required documentation have been provided and verified by the Organizer. Failure to provide correct information on any required forms, or other correct information required for the delivery of a Prize, may result in delayed Prize delivery, disqualification or the Entrant, or forfeiture of a Prize. The final decision to award a Prize rests with the Organizer.
6.3. Winner Announcement
Winners will be announced following conclusion of the judging and in accordance with the Handbook. Winners may be required to sign and return a certification of eligibility and liability/publicity release within a specified period. Failure to respond, provide required documents, or satisfy eligibility requirements may result in forfeiture and selection of an alternate winner.
6.4. Taxes
Winners (which, in the case of a team, means all Participants on such team) are responsible for any fees associated with receiving or using a Prize, including but not limited to, wiring fees or currency exchange fees. Winners are responsible for reporting and paying all applicable taxes in their jurisdiction of residence (federal, state/provincial/territorial and local). Winners may be required to provide certain information to facilitate receipt of the Prize, including completing and submitting any tax or other forms necessary for compliance with applicable withholding and reporting requirements. United States residents may be required to provide a completed form W-9 and residents of other countries may be required to provide a completed W-8BEN form. Winners who are tax residents of India acknowledge that Prize amounts may be subject to tax deduction at source ("TDS") under applicable Indian tax laws. India-resident winners may be required to furnish a valid Permanent Account Number ("PAN") and such other documentation as Organizer may reasonably request (including a declaration of tax residency) to facilitate compliance with applicable TDS and reporting requirements. Failure to provide a valid PAN may result in TDS at a higher rate pursuant to applicable Indian tax laws. Winners are also responsible for complying with foreign exchange and banking regulations in their respective jurisdictions and reporting the receipt of the Prize to relevant government departments/agencies, if necessary. Organizer reserves the right to withhold a portion of the Prize amount to comply with the tax laws of the United States or other sponsor jurisdiction, or those of a winner's jurisdiction.
6.5. Use of Organizer Products as Prizes
Where a Prize includes access to or credits for Organizer Products, the winner's use of those Organizer Products is subject to the applicable Product Terms. Winners are responsible for all fees or charges for Organizer Products not covered by, or in excess of, the awarded Prize.
7. Intellectual Property
7.1. Participant Ownership
Subject to Sections 7.2 and 7.3, Participants retain full ownership of the intellectual property in their Submissions. Nothing in these Terms transfers ownership of a Submission to the Organizer.
7.2. Open Source Publication Requirement for Submissions
Each Entrant agrees to publish their Submission's source code to a public GitHub repository (or another publicly accessible code hosting platform approved by Organizer) under either the MIT License or the Apache License 2.0 (or another OSI-approved permissive open-source license pre-approved in writing by the Organizer) by no later than the Submission deadline. The chosen license must be included in the repository (e.g., as a LICENSE file) at the time of submission.
7.3. License Granted to Organizer
By submitting a Submission, each Entrant grants Organizer a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to: (a) use, review, assess, test, reproduce, display, and create derivative works of the Submission in connection with the Hackathon; and (b) feature the Submission and all its content for promotional purposes (including in advertisements, press releases, presentations, and trade shows) in all media, now known or later developed. Organizer is not obligated to use any Submission for any purpose, even if selected as a winner.
7.4. Third-Party IP
Participants are solely responsible for ensuring their projects do not infringe any third-party intellectual property rights. Submissions incorporating third-party code or assets must comply with the applicable licenses. Entrants acknowledge that other Entrants or Organizer may have developed or commissioned materials similar to their Submission, and waive any claims arising from such similarities.
7.5. Organizer IP
Nothing in these Terms grants Entrants any right to use Organizer's trademarks, logos, or other intellectual property beyond what is expressly permitted herein. Entrants agree to contact Organizer prior to publicizing their participation in, or any Prize won at, the Hackathon.
7.6. Feedback
Participants may provide to Organizer any input, comments, or suggestions regarding the possible creation, modification, correction, improvement or enhancement of Organizer-Provided Materials, or other Organizer products or services ("Feedback"). Participant grants to Organizer a non-exclusive, perpetual, irrevocable, worldwide, transferable, royalty-free, sublicensable license to use, publish, license, and disclose and sell such Feedback in any manner, without any duty to account.
8. Code of Conduct and Fair Play
8.1. Respectful Conduct
All Participants must conduct themselves professionally and respectfully at all times. Discrimination, harassment, or abusive behavior towards any Participant (including Entrants and Mentors), Judge, or Organizer will not be tolerated.
8.2. No Cheating
Any form of cheating, including plagiarism, submitting work not created by the team, vote manipulation, or any attempt to unfairly gain an advantage, will result in immediate disqualification and forfeiture of all Prizes.
8.3. Compliance with Laws
Participants and their Submissions must comply with all applicable laws and regulations.
8.4. Security Disclosures
Any suspected security vulnerabilities discovered during a Hackathon must be reported promptly to [email protected]. Participants may not disclose suspected security issues publicly or to third parties until the Organizer has evaluated and addressed them.
8.5. Consequences
The Organizer reserves the right to disqualify any Participant or team that violates these Terms or the Handbook, or engages in conduct deemed disruptive, unethical, or harmful. Disqualified Participants forfeit all Prizes.
9. Mentor Submission Terms
9.1. Pre-Release Confidentiality
Participants may be invited to serve as a mentor (each, a "Mentor") and submit problem statements, datasets, documentation, and other content to Organizer in connection with their participation as Mentors ("Mentor-Submitted Materials").
Mentor agrees to keep all Mentor-Submitted Materials strictly confidential and not to disclose, share, or discuss them with any person outside of Organizer until the date and time Organizer publicly releases them for the Hackathon. This obligation applies regardless of the form of disclosure and survives termination of Mentor's participation as a Mentor for any reason.
9.2. License Grant
Mentor hereby grants Organizer a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, distribute, display, and create derivative works from the Mentor-Submitted Materials for any purpose, including purposes unrelated to the Hackathon and after the Hackathon concludes.
9.3. Representations and Warranties
Mentor represents and warrants that: (a) Mentor has full right, power, and authority to grant the license in Section 9.2 (including on behalf of Mentor's employer as applicable) and that doing so does not violate any agreement or obligation Mentor has with any third party; (b) the Mentor-Submitted Materials do not contain any information that is confidential or proprietary to any third party; and (c) the Mentor-Submitted Materials do not infringe the intellectual property rights or violate the publicity or privacy rights of any third party.
10. Publicity
By participating in a Hackathon, Participants (including Entrants and Mentors) and Judges consent to the promotion and display of their Submission, and to the use of their personal information (including name, likeness, photograph, voice, basic biographical information, employer, quotes, hometown, and country of residence) and nature of their participation in the Hackathon for promotional and publicity purposes by the Organizer and third parties acting on its behalf, in any media now known or later developed, worldwide, without further payment or consideration, unless prohibited by applicable law.
11. Disclaimer of Warranties; Limitation of Liability
11.1. No Warranties
THE HACKATHON, ORGANIZER-PROVIDED MATERIALS, AND ALL PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11.2. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ORGANIZER AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, VENDORS, AND ANY OTHER ORGANIZATIONS INVOLVED IN SPONSORING, ORGANIZING, ADMINISTERING, ADVERTISING OR PROMOTING THE HACKATHON (COLLECTIVELY, "ORGANIZER PARTIES") SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO PARTICIPATION IN THE HACKATHON OR USE OF OR INABILITY TO USE ANY PRIZE. IN ANY CAUSE OF ACTION, THE ORGANIZER PARTIES' AGGREGATE LIABILITY SHALL BE LIMITED TO THE GREATER OF THE COST, IF ANY, OF ENTERING THE HACKATHON AND USD $100.
11.3. Technical Failures
Organizer is not responsible for: (a) inaccurate information caused by electronic or printing error; (b) technical failures of any kind, including internet connectivity failures, platform outages, or network errors; (c) unauthorized human intervention in any part of the entry process; (d) technical or human error in administering the Hackathon or processing Submissions; or (e) any injury or damage to persons or property arising from participation.
11.4. Force Majeure
Organizer is not responsible for any failure to hold the Hackathon or award Prizes due to events beyond its reasonable control, including acts of God, war, terrorism, pandemics, natural disasters, or technical failures. Organizer reserves the right to cancel, suspend, or modify a Hackathon in the event of fraud, technical failure, or any other unanticipated factor outside its control.
12. Indemnification
Participant agrees to release, indemnify, defend, and hold harmless the Organizer Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or connected with: (a) Participant's participation in the Hackathon; (b) Participant's violation of these Terms or the applicable Handbook; (c) Participant's violation of any rights of any other party, including intellectual property, publicity, or privacy rights; or (d) any materials or information submitted by Participant for the Hackathon, including a Submission.
13. Privacy
Participant's participation is governed by Organizer's Privacy Policy, available at https://clickhouse.com/legal/privacy-policy. By participating, Participant consents to the collection, use, and disclosure of Participant's personal information as described in the Privacy Policy and as necessary to administer and publicize the Hackathon. Registering for a Hackathon constitutes consent for the Organizer to collect and maintain Participant's personal information for purposes of operating and publicizing the Hackathon.
14. Governing Law and Venue
These Terms will be governed by the laws of the State of Delaware, without regard to its conflict of laws principles, and all suits hereunder will be brought solely in Federal Court for the District of Delaware, or if that court lacks subject matter jurisdiction, in any Delaware State Court located in New Castle County, Delaware. All disputes, claims, and causes of action arising out of or connected with a Hackathon, any Prizes, or the Terms will be resolved individually, without resort to any form of class action.
15. General Provisions
15.1. Entire Agreement; No Partnership
These Terms, together with the applicable Handbook and any other documents referenced herein, constitute the entire agreement between Participant and the Organizer with respect to the applicable Hackathon. Nothing in these Terms will constitute an employment, joint venture, contractor relationship, or partnership relationship between Organizer and Participant.
15.2. Assignment
Participant may not assign or otherwise transfer these Terms, in whole or in part, without Organizer's prior written consent.
15.3. Severability
If any provision is found to be unenforceable or invalid, that provision will be limited to the minimum extent necessary so that the remainder of these Terms continues in full force and effect.
15.4. No Waiver
The Organizer's failure to enforce any right or provision will not be deemed a waiver of that right or provision.
15.5. Modifications
The Organizer reserves the right to modify these Terms or the elements of the Hackathon, including the Prizes to be awarded, at any time and for any reason. Changes will be posted on the Hackathon website or notified to Participants using a reasonable method of Organizer's choosing. Continued participation after any modification constitutes acceptance of the revised Terms.
15.6. Survival
All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
